Investment Profile

Investment structure varies by transaction but will generally fit the characteristics described below.

• Purpose: Targeted investments are buyouts, recapitalizations, acquisitions and later stage growth.

• Size: Investments typically range from $1 million to $10 million

  Co-investment is common in our business and Morgan Keegan Mezzanine Fund maintains relationships with a number of other funds that we partner with to complete larger transactions.

• Type of Securities: Senior subordinated debt with detachable warrants to purchase an equity ownership position is the most common form, but can include other forms of debt and equity.

• Maturity: 3 to 5 years

• Investment Oversight: The Fund functions as a financial partner and does not actively manage the businesses in which it invests, but requires either a board seat or observation rights.
